Terms of Service
1. The service
Socio Pulse is a hosted service that lets marketing agencies plan, obtain client approval for, schedule and publish social media content through the official APIs of supported platforms.
Which platforms are available, and what each one can do, is published and kept current on our platform support page. Availability depends on each platform's own approval of our application and on their APIs continuing to offer the relevant capability. We do not control those APIs and cannot guarantee any particular platform will remain available.
2. Your account
- You must give accurate registration details and keep them current.
- You are responsible for everything done under your account, and for keeping your password confidential.
- Do not share a login. Invite people as their own users so the approval trail records who actually did what - that record is the point of the product.
- Tell us immediately at support@sociopulse.com.au if you believe your account has been compromised.
- You must be at least 16 years old.
3. Agencies, clients and authority
If you use Socio Pulse to manage social media accounts belonging to someone else, you represent and warrant that:
- you have that person's or business's authority to manage their accounts and publish content on their behalf;
- you have their permission to upload and store their material in the service; and
- you will stop using their accounts, and disconnect them, when that authority ends.
You are responsible for the content you publish on a client's behalf. Socio Pulse records approvals; it does not verify that the person who approved something had authority to do so.
4. Your content
You keep all ownership of the content and media you put into Socio Pulse. You grant us only the limited licence needed to run the service: to store your content, display it back to the people you have given access, and transmit it to the platform you have chosen to publish to. That licence ends when you delete the content or close your account.
You are responsible for ensuring you have the rights to everything you upload - including images, video, music and fonts. We do not review content before it is published.
5. Social media platform rules
When you connect a social media account, you also agree to that platform's terms and policies, and you must comply with them. This includes:
- Meta's Platform Terms and Community Standards, for Facebook and Instagram;
- LinkedIn's API Terms of Use and Professional Community Policies;
- TikTok's Developer Terms and Community Guidelines.
If a platform suspends or restricts an account, or withdraws our access to its API, we may be unable to publish to it. That is outside our control and does not entitle you to a refund of fees already incurred, though we will work with you on it.
We access platforms only through their official, documented APIs. We do not scrape, automate browsers, or use unofficial endpoints, and you must not ask us to.
6. Acceptable use
You must not use Socio Pulse to:
- publish content that is unlawful, defamatory, harassing, hateful, or that incites violence;
- publish content that infringes another person's intellectual property or privacy;
- publish sexually explicit material, or content harmful to minors;
- send spam, or publish deceptive, misleading or fraudulent content - including fake engagement, impersonation, or artificially coordinated posting;
- publish content prohibited by the destination platform's own policies;
- manage accounts you are not authorised to manage;
- attempt to gain unauthorised access to the service, another agency's workspace, or any account;
- probe, scan or test the security of the service without our prior written consent, or run automated tools against it;
- reverse engineer, resell or white-label the service without our written agreement;
- circumvent rate limits or plan limits, or use the service in a way that degrades it for others.
We may remove content and suspend accounts that breach this clause. Where a breach is serious - for example the coordinated publishing of deceptive content - we may do so without notice and report it to the affected platform.
7. Availability and support
We aim for high availability but do not currently offer a contractual uptime guarantee. We will give reasonable notice of planned maintenance where we can.
Scheduled publishing depends on services we do not control - the destination platform's API, its rate limits, and its processing time. We cannot guarantee that a post will publish at an exact second, or at all, if the platform refuses it. When something fails, we show you the reason, per account, and let you retry only what failed.
Support is by email at support@sociopulse.com.au during Australian business hours.
8. Fees and payment
- Fees are as shown on our pricing page at the time you subscribe, in Australian dollars and inclusive of GST where applicable.
- Subscriptions are billed in advance, monthly or annually as you choose.
- Card payments are processed by Stripe. We also accept direct bank transfer; accounts paid this way are activated once payment is confirmed.
- If a payment fails we will tell you and allow a reasonable period to fix it before restricting the account.
- We may change prices with at least 30 days' notice. A change never applies to a billing period you have already paid for.
9. Trials and cancellation
Where a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel first. We will remind you before that happens.
You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not refund part-used periods except where the Australian Consumer Law requires it.
Export your content before you cancel. After termination we delete your data in accordance with the Privacy Policy.
10. Intellectual property
Socio Pulse, its software, design and documentation remain our property. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is current - nothing more.
Trademarks of Meta, LinkedIn, TikTok and any other platform belong to their owners. Socio Pulse is not affiliated with, endorsed by, or sponsored by any of them.
If you send us feedback or a suggestion, we may use it without obligation or payment.
11. Liability
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where we are permitted to limit liability for a failure to comply with a consumer guarantee, our liability is limited to resupplying the service or paying the cost of having it resupplied.
Subject to that:
- the service is provided "as is" to the extent the law allows;
- we are not liable for indirect or consequential loss, lost profits, lost opportunity, or loss of goodwill;
- we are not liable for anything caused by a platform's API, a platform's decision about your account, or content you or your team chose to publish; and
- our total liability in any 12-month period is limited to the fees you paid us in that period.
12. Suspension and termination
We may suspend or terminate your account if you materially breach these terms, if payment remains unresolved after notice, or if required by law or by a platform we depend on. Where circumstances allow, we will give notice and an opportunity to fix the problem first.
You may close your account at any time. Clauses 4, 10, 11 and 15 survive termination.
13. Changes to these terms
We may update these terms. The version and effective date at the top always reflect the current version. For material changes we will give account holders at least 30 days' notice by email. Continuing to use the service after that means you accept the new terms; if you do not, you may cancel.
14. Governing law
These terms are governed by the laws of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Australia and the courts competent to hear appeals from them.
